Terms of service

Accepting these terms

By creating an account or sending a request to the Openbase API you agree to these terms. If you are agreeing for a company, you confirm you are allowed to bind it, and "you" then means that company.

If you do not agree, do not use the service.

What the service is

Openbase is a gateway. You send one OpenAI-compatible request naming a model, and we route it to a provider that can serve that model, meter what it cost, and draw the charge from your prepaid balance. Where a model is available from several providers, a failure or a rate limit upstream may cause us to retry the request against the next one.

We choose which provider serves a given request based on availability, priority and health. We do not promise that a specific provider will serve any specific request.

Your account

• Give accurate registration details and keep your email address current, since it is how we reach you about billing and security.
• An API key is displayed once, when it is created, because we keep only a hash of it. Store it somewhere safe.
• You are responsible for everything done with your keys and your account, including by your own users and systems. Revoke a key from the dashboard the moment you suspect it has leaked.
• Do not share credentials, and do not let anyone else use your account as a way around signing up for their own.

Acceptable use

You agree not to use Openbase to:

• break the law, infringe someone's intellectual property, or generate material that sexually exploits children or promotes violence against people.
• probe, bypass or interfere with the platform's isolation, quotas or rate limits, or attempt to reach data belonging to another workspace.
• resell or repackage access in a way that breaches the usage policies of the upstream provider serving the request.
• run volumes designed to degrade the service for other customers, or to extract our pricing, routing or catalogue for a competing gateway.
• misrepresent model output as human-authored where doing so would deceive someone to their detriment.

Upstream provider terms apply too

Your requests are executed by third-party model providers. Their acceptable use policies apply to what you send and what you do with the result, and a provider can refuse or restrict traffic. If a provider terminates our access to a model, that model stops being available to you, and we will remove it from the catalogue.

Pricing, credit and billing

• The service is prepaid. You add credit, and each request draws down what it actually cost. There is no subscription and no seat licence.
• Input and output tokens are charged at the per-million rates published on the model catalogue, which already include our platform fee. Reasoning tokens are billed at the output rate, exactly as the provider bills us, and are reported separately so you can see them.
• Balances are held in micro-dollars, one millionth of a dollar, because a single request can cost a fraction of a cent.
• Requests that fail before producing tokens are not billed. Neither are failed attempts against providers we retried during failover, nor requests rejected for a bad key, an unknown model or an empty balance.
• Published rates can change when a provider changes theirs. The rate shown on the catalogue at the time of your request is the rate you pay.

Refunds and promotional credit

Credit is sold to be spent on the service. We will refund an unused balance at our discretion where the law does not already require it, and we will always refund a charge that resulted from our own error.

Signup bonuses and promotional codes are not purchased credit: they carry no cash value, are not refundable or transferable, and can expire.

Availability

We work to keep the gateway up and route around upstream failures, but the service is provided without an uptime commitment unless we have signed a separate agreement with you that says otherwise. Maintenance, provider outages and rate limits can all interrupt service.

Deprecating a model is sometimes forced on us by a provider. Where we have a choice, we will give notice before removing one.

Your content, and ours

You keep all rights in what you send and, as between you and us, in what the model returns. We claim no ownership of either, we do not train on either, and we grant ourselves no licence beyond what is needed to transmit a request to the provider and return the response to you.

Model output is generated text. It can be confidently wrong, and identical prompts can produce different answers. It is not legal, medical, financial or safety advice, and you are responsible for checking it before relying on it or putting it in front of your users.

The Openbase name, site, documentation and software remain ours.

Suspension and termination

You can stop using the service and ask us to close your account at any time. We can suspend or close an account that breaches these terms, that is being used to abuse the platform or another customer, or where we are required to by law or by an upstream provider.

We will tell you why, and where the breach is fixable we will normally warn you first. Serious abuse gets no warning. On closure your keys stop working, and we will return an unused purchased balance where it is lawful and practical to do so.

Disclaimers and liability

The service is provided as is. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the service will be uninterrupted or that model output will be accurate.

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data. Our total liability arising from the service is capped at the amount you paid us in the three months before the claim arose.

Nothing here limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.

Indemnity

You will cover us against third-party claims arising from your use of the service in breach of these terms, including claims about the content you sent, what you did with the output, or your infringement of someone else's rights.

Changes to these terms

We update the date at the top when these terms change. Material changes are emailed to account holders, and continuing to use the service after they take effect means you accept them. If you do not, close your account and ask for your remaining purchased balance back.
